1. Terms of Service

Welcome to Prime Locations, operated by Stellar Scenes Inc., located at 45 Zenith Avenue, Suite 200, Metropolis, CA 90210. By accessing or using our website, primelocations.com, and our services, you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms govern your access to and use of the Prime Locations platform, including all content, services, and functionalities offered. These services include but are not limited to browsing available shooting locations, contacting location owners, booking locations, and utilizing associated support services. We reserve the right to modify these Terms at any time, and it is your responsibility to review them periodically. Continued use of the platform after any such changes constitutes your acceptance of the new Terms.

Eligibility: You must be at least 18 years old and capable of entering into a binding agreement to use our services. By using Prime Locations, you represent and warrant that you meet these requirements. If you are using Prime Locations on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

Account Creation: To access certain features of Prime Locations, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account password and for all activities that occur under your account. Notify us immediately at security@primelocations.com if you suspect any unauthorized use of your account.

Fees and Payment: Using Prime Locations to browse and search for locations is generally free. However, booking a location may require payment of fees, as specified by the location owner. Stellar Scenes Inc. may also charge service fees for facilitating transactions. You agree to pay all applicable fees in a timely manner, using the payment methods provided on the platform. Failure to pay may result in the suspension or termination of your account.

2. User Conduct

Your use of Prime Locations is subject to certain rules of conduct. You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable laws or regulations.
• Post or transmit any content that is defamatory, obscene, harassing, or otherwise objectionable.
• Infringe upon the intellectual property rights of others, including Stellar Scenes Inc. and location owners.
• Interfere with or disrupt the operation of the platform or the servers and networks used to make the platform available.
• Attempt to gain unauthorized access to any portion of the platform or any other accounts, computer systems, or networks connected to the platform.
• Use any robot, spider, scraper, or other automated means to access the platform or collect information without our express written permission.
• Engage in any activity that could damage, disable, overburden, or impair the platform.
• Misrepresent your identity or affiliation with any person or organization.
• Solicit other users for commercial purposes without our prior written consent.

Content Ownership and Licensing: Any content you upload or submit to Prime Locations, including photos, videos, and descriptions of your projects, remains your property. However, by uploading or submitting content, you grant Stellar Scenes Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content on the platform and in connection with our marketing and promotional activities. You also grant other users of the platform the right to access and view your content, subject to these Terms.

Reporting Violations: If you believe that another user has violated these Terms, please notify us immediately at abuse@primelocations.com. We reserve the right to investigate and take appropriate action, including removing content, suspending accounts, and reporting violations to law enforcement authorities.

3. Liability

Stellar Scenes Inc. provides Prime Locations on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the platform's reliability, availability, or suitability for your particular needs. We do not guarantee that the platform will be error-free or uninterrupted, or that all defects will be corrected.

To the fullest extent permitted by law, Stellar Scenes Inc. shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of Prime Locations, including but not limited to damages for loss of profits, data, goodwill, or other intangible losses. This limitation of liability applies whether the damages are based on contract, tort, negligence, strict liability, or any other legal theory.

Indemnification: You agree to indemnify and hold harmless Stellar Scenes Inc., its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of Prime Locations, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

Third-Party Links: Prime Locations may contain links to third-party websites or resources. These links are provided for your convenience only and do not constitute an endorsement by Stellar Scenes Inc. We are not responsible for the content, products, or services offered on such third-party websites or resources, and we shall not be liable for any damages or losses arising out of or in connection with your use of such third-party websites or resources.

Dispute Resolution: Any dispute arising out of or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Metropolis, California. The decision of the arbitrator shall be final and binding on the parties.

Termination: Stellar Scenes Inc. may terminate your access to Prime Locations at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us at support@primelocations.com. Upon termination, your right to access and use the platform shall immediately cease, and any outstanding payment obligations shall become immediately due and payable.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
